Using the help of attorneys and cpa's is is always a good idea. However one has to me mindful to use these advisers as tools and not allow them to drive the deal otherwise (especially the attorneys) will derail of kill the deal. Both the seller and buyer need to remain practical in the due diligence and negotiations. There has to be some win-win in the deal structuring.
